These Terms of Service (“Terms”) are a legal agreement between you and Lattice101 (“Lattice101,” “we,” “us,” or “our”) governing your access to and use of our website at lattice101.com, our waitlist, our member portal, and any related content, tools, or services (together, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who We Are and What We Do

Lattice101 is a done-with-you wealth-building and education company that helps high earners build business credit and invest in real estate. We provide education, program services, tools, and curated opportunities.

We are not a law firm, accounting firm, registered investment adviser, broker-dealer, real estate brokerage, or mortgage lender, and we do not provide legal, tax, accounting, investment, or financial advice. Nothing in the Services is a recommendation to buy or sell any property, security, or financial product. You are responsible for your own decisions and should consult your own qualified, licensed professionals before acting.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements. The Services are intended for users in the United States.

3. No Guarantees; Illustrative Figures

Any figures, returns, tax outcomes, net-worth projections, calculators, or property estimates shown in the Services are illustrative estimates only, are based on assumptions that may not apply to you, and are not promises or guarantees of any result. Real estate, credit, and investing involve risk, including the possible loss of principal. Individual results vary and depend on factors outside our control. Past performance does not guarantee future results.

4. Waitlist, Accounts, and Communications

When you join our waitlist or create an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

By submitting your contact information, you consent to be contacted by Lattice101 by email, phone, and text message about our Services, including through automated means where permitted. 5. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Copy, scrape, reproduce, resell, or redistribute any content or tools without our written permission.
• Attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with their operation.
• Upload or transmit viruses, malicious code, or any material that is defamatory, infringing, or otherwise objectionable.
• Impersonate any person or misrepresent your affiliation.

6. Intellectual Property

The Services, including all text, graphics, logos, the Lattice101 name and mark, software, and content, are owned by or licensed to Lattice101 and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. All rights not expressly granted are reserved.

7. Third-Party Services and Links

The Services may link to or rely on third-party websites, tools, and service providers that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of a third party’s services is governed by that third party’s terms and privacy policy.

8. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any content or figure is accurate or complete.

9. Limitation of Liability

To the fullest extent permitted by law, Lattice101 and its owners, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total aggregate liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless Lattice101 and its owners, members, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered in the State of California, except that either party may seek relief in small-claims court for qualifying claims. To the extent permitted by law, you and Lattice101 agree that disputes will be brought only in an individual capacity and not as part of any class or representative action.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
